These Terms of Use govern access to and use of the Kapolitsas Finance Connector (the Connector), operated by The Healthy Patch (we, us or our).
1. Internal-use service
The Connector is a private business tool. It is available only to people expressly authorised by The Healthy Patch. It is not offered for public registration, resale or general consumer use.
2. Purpose
The Connector integrates authorised QuickBooks Online company data with our internal bookkeeping and reporting workflow. It may be used to read accounting records, prepare reports and workpapers, assist with data entry and reconciliation, and prepare information for review by our accountant, including business activity statement workpapers.
The Connector does not lodge, approve or finalise a business activity statement. Final accounting and tax decisions remain with The Healthy Patch and its appropriately qualified accountant or registered adviser.
3. Licence
Subject to these Terms, we grant each authorised user a limited, non-exclusive, non-transferable and revocable right to use the Connector solely for approved internal business purposes.
An authorised user must not:
- give another person access to the Connector or its credentials;
- copy, sell, sublicense or commercially exploit the Connector;
- attempt to bypass its security controls;
- use it to access a QuickBooks company without the company administrator’s authority; or
- use it unlawfully or in a way that could damage Intuit, QuickBooks, OpenAI, The Healthy Patch or another person.
4. QuickBooks authorisation
The Connector accesses a QuickBooks Online company only after an authorised QuickBooks administrator completes Intuit’s OAuth consent process. The administrator controls that authorisation and may disconnect the Connector through QuickBooks or by contacting us.
Users must ensure that instructions, source documents and approvals supplied to the Connector are accurate and authorised. Material bookkeeping entries and reports should be reviewed before they are relied upon.
5. Third-party services
The Connector depends on third-party services, including Intuit QuickBooks Online and, when enabled for assisted bookkeeping or analysis, OpenAI services. Those services are governed by their own terms and privacy practices. We are not responsible for outages, changes or acts of a third-party service outside our reasonable control.
6. Privacy and security
Our handling of information through the Connector is described in the Kapolitsas Finance Connector Privacy Policy. Authorised users must keep passwords, OAuth credentials, access tokens and exported records confidential and must promptly report suspected unauthorised access.
7. Availability and changes
We may maintain, modify, restrict or discontinue the Connector at any time. We do not promise uninterrupted or error-free operation. We may update these Terms by publishing a revised version at this URL.
8. Disclaimer
The Connector is an administrative and decision-support tool. Its output may contain errors and must be checked against source records. It does not provide independent legal, tax or financial advice and does not replace professional review.
Nothing in these Terms excludes any guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law or other applicable law.
9. Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential loss arising from use of the Connector, loss of access to a third-party service, or reliance on unreviewed output. Where liability cannot be excluded, it is limited to the extent permitted by applicable law.
10. Suspension and termination
We may suspend or terminate access if these Terms are breached, security is at risk, or access is no longer required. On termination, the user must stop using the Connector and return or securely delete credentials and exported information as directed. QuickBooks records and legally required business records may be retained under applicable record-keeping obligations.
11. Governing law
These Terms are governed by the laws applicable to The Healthy Patch in Australia. The parties submit to the courts having jurisdiction in that location.
